Terms of Service

These Terms govern access to and use of the Elizian public website and any services that expressly reference these Terms. Enterprise services may also be governed by signed customer agreements.

Acceptance of Terms

These Terms apply when a person accesses or uses services that expressly reference them. Acceptance may occur through an electronic acceptance mechanism presented with the applicable service. If you do not accept these Terms, you must not access or use the applicable service.

A person accepting these Terms for an organization represents that they have authority to bind that organization. A person without that authority may use an applicable service only in an individual capacity where permitted. Separately signed agreements govern the services and subject matter they cover.

  • These Terms do not replace a Master Service Agreement, Business Associate Agreement, Data Processing Agreement, Statement of Work, Order Form, government contract, provider agreement, customer-specific platform terms, or signed confidentiality agreement.

Eligibility and Authority

You must have the legal capacity to accept these Terms and be at least the age of majority in your place of residence. If you use Elizian on behalf of an organization, you represent that you have authority to bind that organization and act in accordance with its policies.

Registration information must be accurate and current. Access is unavailable where prohibited by applicable sanctions, export controls, or other law.

Scope of the Terms

These Terms may govern the Elizian public website, resource center, public forms, executive-briefing requests, operational assessments, planning calculators, public demonstrations, webinars, public or trial accounts where offered, and other services that expressly link to these Terms.

Authenticated enterprise access may instead be governed by a signed Master Service Agreement, Business Associate Agreement, Data Processing Agreement, Statement of Work, Order Form, government contract, customer policy, provider agreement, product-specific term, or other customer-specific platform term.

  • Public descriptions and demonstrations are informational unless a signed agreement states otherwise.
  • Public forms are not secure channels for protected health information or confidential procurement material.

Order of Precedence

If these Terms conflict with a signed agreement governing your use of Elizian, the signed agreement controls for the services within its scope. A Business Associate Agreement or Data Processing Agreement controls for the processing activities it expressly governs. Product-specific terms control over these general Terms for the applicable product or feature.

Description of Services

Elizian supports healthcare workflow execution and operational coordination. Depending on the deployment, functions may include case and referral coordination, provider discovery and routing, capacity visibility, credentialing and family-readiness workflows, communications, escalations, analytics, integrations, AI-assisted operational support, planning tools, and resource delivery.

Features and configuration differ by customer. Public descriptions are informational; roadmap statements are not contractual commitments. Purchased functionality is defined by signed agreements.

Accounts and Authorized Access

Users must provide accurate account information, protect credentials, use required multi-factor authentication or single sign-on, and operate only within assigned role-based permissions. Credentials may not be shared.

Customer administrators control enterprise users, roles, activation, and deactivation. Users must promptly report suspected unauthorized access. Elizian may maintain audit logs and may suspend access to address security, legal, contractual, or customer-directed requirements.

  • Administrators are responsible for appropriate role configuration.
  • Account access may end on customer direction, agreement expiration, or a permitted suspension or termination.

Acceptable Use

Users may use applicable services only for lawful, authorized purposes and in a manner that preserves security, availability, privacy, and the rights of others. Restrictions do not prohibit activity protected by applicable law.

  • Do not attempt unauthorized access, circumvent security, share credentials, introduce malware, conduct denial-of-service activity, or impose excessive system load.
  • Do not scrape, automate extraction, reverse engineer where restriction is legally permissible, or replicate the platform competitively through unauthorized access.
  • Do not commit fraud, impersonate others, harass, discriminate unlawfully, violate export controls, or infringe intellectual-property rights.
  • Do not upload unlawful content or information without authority; submit PHI through general public forms; misrepresent platform outputs; or use provider information for unauthorized solicitation.

Healthcare and Clinical Boundaries

Elizian supports operational coordination and execution. MyWoosah Inc., solely by providing software, is not a healthcare provider. The platform does not independently diagnose, prescribe, replace licensed clinical judgment, or operate as an emergency-response service.

Unless expressly authorized under a lawful signed arrangement, the platform does not independently determine medical necessity or authorize health-plan benefits. It does not guarantee provider availability or automatically verify that every provider is clinically appropriate for every case.

Provider employment, licensing, credentialing, clinical decisions, and supervision remain with responsible organizations unless a signed agreement expressly allocates responsibility differently. Contact local emergency services for emergencies.

Customer and User Responsibilities

Customers and users are responsible for lawful authority to provide data; required permissions and consents; accurate workflow information; appropriate roles; endpoint security; user training; review of case status; and timely response to escalations.

Responsible organizations retain independent clinical judgment, authorization decisions, verification of provider responsibilities, licensing compliance, appropriate integration use, and data-minimization duties. Signed agreements may allocate responsibilities differently.

Privacy and Customer Data

Public personal information is handled under the Privacy Policy. Enterprise customer data may be governed by signed agreements, and protected health information may be governed by a Business Associate Agreement.

Users must have authority to submit data. Public forms must not be used for PHI. Customer-data ownership and permitted processing are governed by signed agreements; MyWoosah Inc. receives only the rights necessary to provide, secure, support, and improve the contracted services as permitted by those agreements.

Protected Health Information

PHI processing may be governed by a Business Associate Agreement and related healthcare agreements. These public Terms do not replace a healthcare customer’s Notice of Privacy Practices.

Public website forms are not intended for PHI. A customer organization may be the appropriate party for patient or member record-access requests, restrictions, amendments, or accounting requests. Signed healthcare agreements govern where applicable.

12.

Artificial Intelligence and Automated Features

Configured AI-assisted functions may support summarization, requirement extraction, classification, workflow prioritization, provider-match recommendations, risk identification, communication drafting, forecasting, and operational insights.

Outputs may be incomplete or incorrect and require appropriate human review. AI output is not medical advice and does not independently determine medical necessity, authorize coverage, or establish provider competency. Customers may configure or disable certain functions where supported.

Data use for model training must follow applicable signed agreements and published policy.

13.

Public Planning Models and Calculators

Public planning tools may use user-selected inputs or illustrative defaults. Outputs are estimates, not Elizian performance guarantees, audited forecasts, actuarial opinions, reimbursement advice, financial advice, or clinical claims.

Gross capacity value is not necessarily realized savings. Redirected labor is not necessarily cashable. Released capacity produces value only when an organization can use it. Sources may support problem context without validating platform performance. Users must independently validate assumptions, methods, and applicability.

14.

Intellectual Property

MyWoosah Inc. or its licensors retain applicable rights in the website, software, interfaces, documentation, Elizian brand and marks, graphics, workflow designs, public resources, planning models, reports, and platform content.

Customers retain applicable ownership of customer data. Custom development and deliverables are governed by signed agreements. Open-source and third-party components remain subject to their respective terms.

15.

Limited License

Subject to these Terms, MyWoosah Inc. grants a limited, revocable, nonexclusive, nontransferable license to access and use public website content for lawful informational purposes. Enterprise license rights are governed by signed agreements.

  • Unauthorized reproduction, resale, sublicensing, commercial exploitation, copying of platform design, extraction of substantial content, and competitive replication through unauthorized access are prohibited.
16.

User Content

Users retain applicable ownership of content they submit and must possess authority to submit it. MyWoosah Inc. receives only the rights needed to host, process, transmit, secure, and provide the applicable service.

Unlawful content may be restricted or removed. These Terms do not grant perpetual marketing rights over customer confidential information.

17.

Feedback

Feedback may be used to improve Elizian, subject to confidentiality obligations and signed agreements. Feedback must not disclose underlying customer confidential information. MyWoosah Inc. will not publicly attribute feedback to a customer or individual without approval.

18.

Confidentiality

Submitting a general public form does not automatically create a nondisclosure agreement. Do not submit PHI, trade secrets, confidential procurement data, or sensitive business information through ordinary public forms. Executive-briefing forms are not secure data rooms.

Enterprise confidentiality is governed by signed confidentiality agreements, NDAs, and other customer agreements.

19.

Third-Party Services and Integrations

Services may depend on third-party infrastructure or interact with customer-authorized integrations. Third-party terms and licenses may apply, and external services may change or become unavailable.

Customers are responsible for authorizing integrations and maintaining required third-party rights. Responsibility for Elizian’s own integration commitments remains governed by the applicable signed agreement.

20.

Fees and Payment

Public resources may be free unless otherwise stated. Enterprise fees are governed by signed agreements. Taxes, payment schedules, credits, refunds, and suspension rights are contract-specific.

These public Terms do not replace negotiated commercial provisions and do not create a consumer subscription where none is expressly offered.

21.

Service Availability

Public website availability is not guaranteed; maintenance may occur and public features may change. Preview or beta functions may have additional limitations.

Enterprise uptime, support, maintenance, and service-level commitments are governed by signed agreements and SLAs. Nothing in these Terms negates a signed service level.

22.

Suspension and Termination

Access may be suspended or terminated for Terms violations, security threats, legal requirements, unauthorized activity, nonpayment where contractually permitted, customer direction, or agreement expiration.

The effect on access, data handling, transition assistance, and deactivation is governed by applicable signed agreements and law. Provisions that by their nature should survive remain effective.

23.

Disclaimers

To the extent permitted by law, public website content, resources, planning tools, AI outputs, and third-party content are provided for informational purposes and may contain errors or omissions. Public services may be interrupted and are not emergency services.

Elizian does not replace licensed clinical judgment. These disclaimers do not limit warranties expressly granted in a signed agreement or rights that cannot lawfully be excluded.

24.

Limitation of Liability

To the fullest extent permitted by law, MyWoosah Inc. and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the public website or these Terms. Liability relating to enterprise services is governed by the applicable signed agreement. Nothing in these Terms limits liability that cannot lawfully be limited.

25.

Indemnification

Indemnification obligations apply only where stated in a signed agreement or required by applicable law. Nothing in these public Terms creates an additional clickwrap indemnification obligation for enterprise customers.

26.

Governing Law and Venue

A signed agreement governs the applicable law and venue for services within its scope. For use of the public website not governed by a signed agreement, applicable law and the rules of a court with competent jurisdiction determine governing law and venue. Mandatory consumer and public-sector protections remain unaffected.

27.

Dispute Resolution

Before filing a claim concerning the public website, the parties will make a good-faith effort to resolve the matter through written notice and reasonable discussion. Disputes relating to enterprise services are governed by the applicable signed agreement. These Terms do not impose arbitration or a class-action waiver.

28.

Government Users

Government use may be subject to mandatory statutes, procurement rules, and signed agreements. These Terms do not waive sovereign immunity, statutory rights, or other protections that cannot lawfully be waived.

29.

Export Controls and Sanctions

You must comply with applicable export-control, economic-sanctions, and prohibited-jurisdiction laws. You may not use or provide access to Elizian where such use or access is prohibited by law.

31.

Changes to the Terms

Updated Terms will display a new last-updated date and version. Material changes may be communicated through reasonable methods and take effect as stated in the updated Terms, subject to applicable law.

Website updates do not amend signed enterprise contracts unless those contracts expressly permit amendment by that method. Prior versions may be archived for reference.

32.

Notices

Notices may be provided by email, platform notice, website notice, or another reasonable method. Signed agreements govern formal enterprise notice requirements, addresses, recipients, and effective-delivery rules.

33.

General Provisions

These Terms, together with documents expressly incorporated by reference, constitute the agreement governing use of the public website. If a provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. Headings are for convenience, and provisions that by their nature should survive termination will survive.
